Terms of Service
Last updated: 15 October 2026
These Terms are the agreement between you and PropertyDynamix for using the platform. We have written them to be read: what you get, what you pay, what stays yours, and where our responsibility ends. Please read them before you create an account.
Contents
1. Acceptance
By visiting propdynamix.com, creating an account, or using any PropertyDynamix service, you ("you", "your", the "Customer") agree to these Terms of Service (the "Terms") and to our Privacy Policy, which forms part of them. If you use the platform for an organisation, you confirm that you are authorised to bind it.
"Platform" means every PropertyDynamix product, feature, connector, export, report, document, email and website we provide, including features we add later. If you do not agree with these Terms, please do not use the Platform.
Some products are set up with a signed order form or a custom agreement. Where a signed document and these Terms disagree, the signed document wins for the matters it covers.
2. What the Platform is
In short
PropertyDynamix is software for real estate strategy and operations in the United Arab Emirates. It reads registered DLD and ADREC transaction records and public market sources, and it helps you research, price, plan and monitor. It is an analytical tool. It is not a broker, a valuer, an adviser or a data licensor.
The Platform includes, as available on your plan:
- Market Terminal: registered DLD and ADREC transactions for Dubai and Abu Dhabi, benchmarks, indices, absorption, comparables, side-by-side comparison and exports.
- Price Prism Engine (the Pricing Workbench): unit-level pricing from base PSF, floor rise, view premiums, balcony rules and adders, versions, comparison and margin analysis. 1-Click Pricing drafts a configuration from registered evidence for you to approve, value by value.
- Lands & Feasibility: residual land value, development value, cost, profit, IRR, sensitivity and cash-flow modelling, saved to the project record.
- Payment Plans: buyer schedules, templates, net present value and effective PSF.
- Pricing Pulse: scheduled checks of your pricing against registered sales, launches and market sentiment, with a hold, raise or cut reading and a recommended PSF. Repricing is always your decision.
- Promotions Radar: developer purchase incentives read from developer websites and public web sources on a schedule, classified, explained, and optionally valued on a worked example you switch on.
- New Launches: announced and upcoming residential launches discovered from official records and public sources, with each figure marked by how it was checked.
- MOIRA: a conversational assistant that answers from the registered record and your project, reads documents you attach, and produces reports.
- MOIRA Majlis: a connector that lets assistants such as ChatGPT and Claude reach the market record under your own access. The assistant sees only what your plan allows, every call is logged against your account, a daily allowance applies, and you can disconnect it from your account at any time. What an assistant does with an answer is governed by that assistant provider's own terms.
- Market review editions and the blog: published market reviews, prepared with the help of an AI model and approved by a person before release, with an optional email subscription.
We add, change and retire features as the product develops. Where a change materially reduces what a paying customer can do, we give reasonable advance notice. Features marked early access, preview, beta, coming soon or in development are covered by section 5.
3. Accounts and access
- Who may use it: you must be at least 18 and using the Platform for business purposes. The Platform is not offered to consumers.
- Access: Free accounts are reviewed before access. A paid plan is active as soon as the payment is confirmed. We may decline or delay a free account at our discretion.
- Your credentials: keep your sign-in details private. You are responsible for everything done under your account. One person per login; sharing a login is not permitted.
- Organisations: an organisation account has members and roles (member, admin, billing admin). Records created under an organisation belong to that organisation, not to the individual who created them. A member who leaves loses access to the organisation's records. The billing admin can see each member's usage counts for today and this month, never what they asked. At the request of an organisation's owner we can merge one organisation into another or wind one up; we explain the effect on people and records before we act.
- Phone verification: some features ask you to link and verify a phone number. Verification is protected against automated abuse by a third-party service. One phone number can verify one account, ever. A phone number already used on another account cannot unlock a trial or a benefit again.
- Suspension: we may suspend or close an account that breaks these Terms, behaves abusively, is unpaid past the grace period in section 4, or presents a security risk. We tell you why unless the law prevents it.
- Our administrators: to support you and to keep the Platform safe, our administrators can approve, suspend and delete accounts, end sessions, require a password reset, and, when needed for support or investigation, open your account as you would see it. Every such act is written to an append-only audit log.
4. Plans and payment
In short
Free is a 3-day Market Terminal trial, 7 days when you verify your phone number. Lite is per person, billed monthly or yearly; an organisation buys it by the seat. Pro is priced per month, billed monthly or annually. Ultra and Custom are agreed with our team. Every paid plan renews automatically until you cancel. Prices are in AED. Amounts are exclusive of VAT. VAT, where applicable, will be charged at the prevailing rate.
- Plans: Free, Lite, Pro and Ultra, as described on our pricing page, plus Custom and Enterprise Plus arrangements agreed in writing. What each plan includes, its usage pools and its support level can change; changes that reduce a paid plan take effect at your next renewal.
- Add-ons: some features are sold as add-ons. MOIRA Majlis is an add-on to Lite at AED 399 per month, or AED 4,999 per year for Lite with Majlis on annual billing; Pro and Ultra include it. It is not sold on its own. No add-on is charged before it is available to you.
- Billing: subscriptions are billed in advance, monthly or annually, in United Arab Emirates dirhams. Card payments are handled by a PCI DSS Level 1 certified payment processor; card numbers never reach our servers, and we never see or store your full card number. Invoices and credit notes are issued through the Platform.
- Annual plans: billed once for the full twelve-month term at the annual rate.
- Automatic renewal: a paid plan renews automatically at the end of each month or year, and your payment method is charged for the next period, until you cancel.
- Organisation accounts: Pro and Ultra can be bought for an organisation. The buyer must use a company email address, not a public mail service. An organisation holds up to 7 members by default; a different number can be agreed with our team.
- Lite for an organisation: an organisation can also buy Lite by the seat, from one seat (the buyer) up to 7, at the Lite price for each seat. The seats bought are the most people the organisation can hold, invitations not yet accepted included. The billing owner assigns and reassigns seats to people on the company domain at any time. MOIRA Majlis on such a plan is added for every seat. More seats can be added at any time and are charged now for the rest of the period. A seat can be removed within 7 days of the payment that added it, and its unused days are refunded. After that, fewer seats take effect at the end of the current month on a monthly plan, or at renewal on a yearly plan. Seats are never reduced below the people holding or invited to one.
- Daily allowance: every plan includes, for each person, a daily allowance of market views, a daily number of MOIRA conversations and a daily number of web checks, as stated on the pricing page. The three are counted separately, and using one does not reduce another. Viewing the same market again within the hour is not counted again. Each allowance starts again at midnight Dubai time. Saved work, projects and reports stay open when a day's allowance is used up.
- Fair use: paid plans also include usage pools for the account as a whole (for example market data queries) that refill on a rolling 7-day basis, as stated on the pricing page. These pools are separate from the daily allowance above. If an account exceeds its pool we contact you before applying any limit.
- Late payment: if a renewal payment fails, we retry it and tell you the same day. Full access continues for 7 days past the due date. After that the account becomes read-only until the invoice is paid: you can still sign in, open every project and export your work, but you cannot edit or create, and the Market Terminal, New Launches, Promotions, Pricing Pulse, MOIRA and MOIRA Majlis are paused. Paying the open invoice restores full access straight away. Nothing is deleted for non-payment.
- Price changes: we give at least 30 days written notice of a price change. An annual subscriber keeps the agreed price until renewal.
- Taxes: Amounts are exclusive of VAT. VAT, where applicable, will be charged at the prevailing rate. Where VAT applies, it is added to each charge at the prevailing rate (5% today) and shown on your invoice. We tell existing subscribers before any change to the VAT charged. Prices also exclude any other taxes unless stated.
5. Free, trials, early access and features in development
In short
The Free tier, trials, early access, previews, betas and anything marked coming soon or in development are provided as they are, may change or be withdrawn at any time, and carry no service level. Our liability for them is limited to what you paid for them, which for Free and trials is nothing.
What counts as a Complimentary Service
The Free tier, any free or extended trial, promotional access, and any feature labelled early access, preview, beta, coming soon or in development (today that includes Lands & Feasibility early access) are "Complimentary Services", whether or not you also pay for a plan. A feature you pay for, such as MOIRA Majlis, is not one.
No warranty, no service level
Complimentary Services are provided as they are and as available, without warranties of any kind. No uptime, support response, accuracy or data retention commitment applies to them, and the service levels offered to Pro and Ultra subscribers do not extend to them.
We may change or withdraw them
We may change, limit, meter, suspend or discontinue any Complimentary Service at any time, with or without notice, without liability. That includes changing usage caps, moving a feature to a higher plan, changing an announced price, and deciding not to release an announced feature at all.
Usage limits
Complimentary Services carry the limits shown in the product and on the pricing page. We may throttle, suspend or end access that exceeds them, that appears automated or resold, or that is used to build or benchmark a competing product.
Inactivity
We may suspend or close a Free or trial account that stays inactive, and remove its data, after giving notice to the email address on the account. Export anything you want to keep while your access is active.
Trials
A trial gives temporary access to stated features for a stated period. When it ends, those features stop unless you subscribe. Offering a trial does not oblige us to offer, extend or renew one for you or anyone else.
Liability for Complimentary Services
To the fullest extent the law allows, our total liability for any Complimentary Service is limited to the amount you paid us for that service in the twelve months before the claim, which for the Free tier and trials is AED 0. This sits inside, and does not enlarge, the limits in section 12.
6. Cancellation, refunds and your data afterwards
In short
Ask within 7 days of your first payment, tell us why, and we refund it in full. After that there are no refunds, except for seats or an upgrade undone within 7 days of paying for them (below): a monthly plan runs to the end of its paid month and an annual plan runs to the end of its term. Your data is not deleted when a plan ends.
An organisation paying by the seat may remove a seat within 7 days of the payment that added it: the seat ends at once and its unused days are refunded. Seats in use by people or open invitations cannot be removed until those people are removed.
| If you cancel | You keep | We keep |
|---|---|---|
| Within 7 days of your first payment | Your money: the payment is refunded in full and the subscription ends now | Nothing |
| A monthly plan, later | Access to the end of the month you paid for, and all your data | That month's fee, nothing more; no further charge |
| An annual plan, later | Access to the end of the year you paid for, and all your data | The year's fee already paid; no pro-rata refund, no renewal, no exit fee |
This is the shape most software subscriptions take: the plan runs to the end of what was paid for, and the refund window sits at the start, before you have relied on it. If we fail to provide the service for a sustained period, we credit or refund the affected time; write to us.
The refund window
If you ask within 7 days of the first payment on a subscription, we refund everything paid on it so far in full: the first payment and any upgrade charged since. The refund ends the subscription immediately, and the account moves to the read-only state described below. The window applies once for each account, counted from its first payment; it does not open again on an upgrade, a renewal or a later subscription. If you paid during your free trial and its end date has not yet passed, the person who paid goes back to that trial until the date it would have ended; a refund for fewer seats never restores a trial.
We ask for the reason, in a sentence, and keep it with the refund record. An individual account requests the refund under Billing. For an organisation, its billing administrator requests it under Billing within the same 7 days; the refund ends the plan for every member.
How refunds are paid
- A refund goes back to the card that paid. Any part paid from account credit comes back as account credit.
- Account credit is never paid out in cash. It reduces your next invoices.
- We never charge a card fee, on a payment or on a refund.
- Every refund comes with a credit note, which you find under Billing.
Monthly plans
Cancel at any time from your billing settings or by writing to us. Service continues to the end of the current paid month. We do not refund part of a month.
Annual plans
We remind you 14 days before a yearly plan renews, with the seats and the amount. Cancel at any time; the plan runs to the end of its paid term and does not renew. We do not refund the unused part of a term outside the refund window above. There is no early termination fee.
No refunds for
- Part of a month or a term already paid, outside the refund window and the undo window for seats and upgrades
- Unused usage pools, AI conversations, queries or exports
- Features included in your plan that you did not use
- Migration, onboarding, custom development or integration work already delivered
Changing plan
The billing owner changes the plan under Billing. Before you confirm, we show the exact amount due now, or the date the change takes effect.
- Moving up (a higher plan, more seats, or monthly to yearly) takes effect as soon as the payment goes through. You pay only the difference for the rest of the current period: the unused part of what you already paid is credited against the new price. If that credit is larger than the new price, nothing is charged and the rest stays on your account to reduce your next invoice; it is not paid out. If the payment does not go through, nothing changes.
- Fewer seats: within 7 days of the payment that added a seat, it can be removed now and its unused days are refunded. After that, fewer seats take effect at the end of the current month on a monthly plan, or at renewal on a yearly plan, with nothing charged or refunded meanwhile.
- Undoing an upgrade: within 7 days of the payment for an upgrade, and while nothing else on the plan has changed since, you can go back to the plan you had before. The change takes effect at once and what that payment collected is refunded, as set out under How refunds are paid.
- Otherwise, moving down to a lower plan takes effect at the end of the current month on a monthly plan, or at renewal on a yearly plan. Nothing is charged, credited or refunded until then. You can cancel a booked change until it takes effect.
- A yearly plan cannot switch to monthly billing until it renews.
- A discount code ends when you change plan, whether to a different plan or between monthly and yearly billing; changing only the number of seats does not end it. After the change you pay the list price of the new plan.
- A plan on terms agreed with us (a negotiated price or invoice billing) is changed by our team; write to support@propdynamix.com.
When a downgrade takes effect, features of the higher plan stop; projects and data beyond the lower plan's limits stay stored and read-only until you choose what to do with them.
What happens to your data
When a subscription ends, access continues for 7 days. The account then becomes read-only: you can sign in, export your projects, configurations, plans and reports in standard formats, and reactivate at any time. We do not delete your data because a plan ended. Deletion happens when you ask for it, or under the retention rules in our Privacy Policy, and we complete a deletion request within 90 days unless the law requires us to keep something longer.
When an account is deleted, we keep its consent records and financial records (invoices, credit notes and refunds) as the law requires. Financial records are kept for at least 5 years. Project data is kept for 90 days in case of a mistake or a request, then permanently deleted.
7. Intellectual property
In short
The Platform belongs to PropertyDynamix. Your data belongs to you. Anything we build, including a feature you asked for, belongs to us unless a signed agreement says otherwise.
Ours
The Platform and everything in it are the property of PropertyDynamix or our licensors: software, source code, models, prompts, methodologies, scoring and valuation logic, data pipelines, designs, interfaces, documentation, templates, report formats, sample data and all improvements to them. These Terms give you a limited, non-exclusive, non-transferable right to use the Platform for your own business during your subscription, and nothing more. All other rights are reserved.
Our marks
"PropertyDynamix", "PDX", "MOIRA", "MOIRA Majlis", "Price Prism", "Pricing Pulse", "Promotions Radar", the PDX mark and our other names and logos are our trademarks. Please do not use them without our written permission.
Yours
You own the data you upload or create: unit inventories, pricing configurations, versions, payment plans, feasibility inputs, documents you attach, and the outputs generated from them for your projects. We claim no ownership of your data. You grant us a licence to host, process, back up, display and transmit it as needed to run the Platform, to keep it secure, and to comply with law. The licence ends when the data is deleted, except for copies held in routine backups until they expire.
Feedback, feature requests and features we build for you
We build from what customers tell us, and we want to keep doing that, so this rule is stated plainly. Any idea, suggestion, feature request, specification, workflow, example, comment or other feedback you give us about the Platform may be used by PropertyDynamix freely, without obligation, payment, credit or restriction. Every feature, improvement, model, design, prompt, integration or piece of code we create, whether we thought of it ourselves, built it at your request, developed it during a pilot or a demonstration, or delivered it under a paid engagement, is owned by PropertyDynamix. You do not gain ownership, exclusivity, a licence to the underlying work, or a right to stop us offering the same feature to other customers, unless a signed agreement between us says so expressly. To the extent you would otherwise hold any right in such work, you assign it to us and waive any moral rights in it. Your own confidential data used to explain a request stays yours and stays confidential under section 16.
Custom work and pilots
Where we agree custom development, a pilot or an integration, a signed order form or statement of work sets the deliverables and the price. Unless that document assigns something to you in writing, the rule above applies: we own the work, and you receive a right to use it as part of your subscription.
Exports and reports
Reports, workbooks, images and files you export contain your data and, often, our formats, market data and generated analysis. You may use them for your own business. You may not resell or republish the market data in them as a dataset, or remove our notices from them.
8. Public sources, developers and third parties
In short
Some of what the Platform shows is read from public sources: registered transaction records, developer websites, property portals, press and community sites. We show developer names and marks so you can tell who is who. We are not affiliated with any developer, portal, DLD, ADREC or any authority, and none of them endorses us.
Registered records
DLD and ADREC records are published by those authorities. We read them, check them and organise them, but we do not control them. They can be delayed, mis-keyed, reclassified or corrected after the fact, and we do not guarantee that they are complete, accurate or current. Your use of them through the Platform is also subject to any terms those authorities publish, which may restrict redistribution. Exports are for your internal business use, not for resale or republication as a dataset.
Developers, offers and launches
Promotions Radar, New Launches, the Market Terminal and MOIRA may show developer names, project names, logos, offers, prices, dates, brochures and statements read from public pages and records. We show them to identify and analyse, not to sell for anyone. Marks belong to their owners. An offer or a launch may be wrong, incomplete, out of date, changed or withdrawn by the time you read it, and a figure we mark as an estimate is ours, not the developer's. Before you rely on an offer or quote it to anyone, verify it against the developer's own written terms. Nothing on the Platform is an offer by us or by any developer to sell anything.
How we read public pages
Our scheduled research reads publicly available pages, without accounts, without bypassing paywalls or access controls, and without seeking personal data. If you are a developer, a portal or a rights holder and believe we have read or shown something we should not have, or shown it incorrectly, write to support@propdynamix.com and we will review and, where appropriate, correct or remove it promptly.
Third-party services
The Platform relies on third-party services (cloud hosting, AI models, maps, payments, email and web search) named in our Privacy Policy. They are subject to their own terms, and an outage or a change on their side can affect the Platform. We are not responsible for a third party's service, content or conduct.
Assistants you connect
Once MOIRA Majlis is released, an assistant you connect to it (for example ChatGPT or Claude) is a product of its own provider, under that provider's terms. What that assistant does with the answers it receives is between you and that provider.
9. Customer references
In short
We may name you as a customer and show your logo. You can opt out with a written notice. We never disclose your pricing data or your projects without your written consent.
By using the Platform you agree that we may identify you as a customer and use your company name and logo on our website, in marketing materials, in sales and investor presentations, and in case studies prepared with your participation.
Opting out
Write to support@propdynamix.com at any time. The opt-out takes effect within 30 days; existing printed material is updated at its next revision.
Aggregated statistics
We may publish anonymised, aggregated statistics that do not identify any customer, whether or not you have opted out.
Your data stays private
We do not disclose your pricing data, configurations, inventory, plans, feasibility studies or business intelligence to anyone without your explicit written consent, except as the law requires.
10. AI and market data: what our outputs are, and are not
Important
Everything the Platform produces is analytical information to help you decide. It is not financial, investment, legal, tax, valuation or brokerage advice, and it is not a guarantee of any outcome. You make the decisions, and you remain responsible for them.
Not advice
Recommendations, analyses, pricing drafts, readings, scores, simulations, reports and conversations produced by the Platform are informational. They do not constitute financial, investment, legal, tax, accounting, valuation or any other professional advice, and they do not take your particular circumstances into account. Consult qualified professionals before a significant decision.
Accuracy
AI models are probabilistic. They can produce fluent text that is wrong, cite a source that does not support the claim, miscalculate, misread a table, confuse similar names, or repeat a stale figure. We build guardrails, source tagging and checks into the Platform, we report a figure as missing rather than invent it where we can, and we correct material errors we find or you report. We cannot eliminate error. Read every output critically and verify it before you act on it.
Market data
Registered transaction data and public market sources are described in section 8. Benchmarks, indices and comparables derived from them are our analysis of that data as we hold it on the day.
Projections and simulations
Pricing simulations, PSF recommendations, feasibility results, payment plan valuations, yield estimates, absorption curves and forecasts are the mathematics of a model applied to your inputs, market data and assumptions. They are not predictions of what buyers will pay, what competitors will do, what approvals you will obtain or what revenue you will realise. Change an input and the output changes. Actual results will differ, sometimes materially.
Reports are not valuations or offering documents
Feasibility, market, pricing, investment, repricing, competitive and rationale reports, and any other document the Platform produces, are internal working documents. They are not valuations under RERA regulation or the Taqyeem valuer framework, not appraisals under RICS, IVS or USPAP, and not offering documents regulated by the UAE Securities and Commodities Authority, the Dubai Financial Services Authority or the ADGM Financial Services Regulatory Authority. Do not present them to anyone as such. If you need a formal valuation, engage a registered valuer.
MOIRA
MOIRA is software. It is not a licensed broker, valuer, investment adviser, financial adviser, lawyer or accountant, it owes you no fiduciary duty and it does not carry out due diligence for you. Its answers can be wrong. Verify anything that matters with a qualified person.
Pricing Pulse and pricing recommendations
A hold, raise or cut reading, a recommended PSF, a drafted configuration or a strategy option is not a recommendation to buy, sell, lease or invest in any asset, and not personalised investment advice. Nothing is applied to your project until you approve it. You remain the sole decision maker on pricing, inventory and commercial strategy.
Promotions and launches
An offer, a launch, a campaign date, an estimate or a modelled value shown by Promotions Radar or New Launches is our reading of public sources at the time we read them. It can be wrong, partial or out of date. Verify with the developer before you rely on it, match it or quote it.
Verify before any external use
Before you use an output outside your own team, whether with a board, a lender, a co-investor, a regulator, a buyer, a broker or the public, check every figure, chart, citation and statement in it. Once an output leaves your team it is your representation, not ours, and we recommend review by a qualified professional first.
Sharing with third parties
When you export or forward a report, screen, chart, file or data to anyone, you do so as its publisher and you are responsible for any reliance the recipient places on it. We accept no liability to anyone who is not our contracting customer, and these Terms create no third-party rights.
We do not broker
We do not introduce buyers to sellers, negotiate, hold deposits, or take part in any sale, lease or transfer. No commission or fee accrues to us from any transaction, and the Platform must not be used to avoid broker registration requirements under UAE law.
Your compliance
You are responsible for making sure that your use of our outputs complies with the law that applies to you, including consumer protection and advertising law, RERA and ADREC rules on marketing and off-plan sales, escrow law, jointly owned property law, securities rules where relevant, and anti-money-laundering obligations. Our outputs are analytical and are not cleared for advertising use.
No training on your data
Your conversations, project data, configurations, inventory and uploads are stored to your account so you can review and resume your work. We do not use them to train AI models, and the AI providers we use process them under paid terms that exclude them from training. Anonymised, aggregated patterns across the Platform may be used to improve the service.
11. UAE regulatory position
Scope of the service
PropertyDynamix is an analytics software service. It is not a broker, a valuer, a securities adviser or a regulated financial service under UAE law.
- Not a broker or agent: we are not registered as a real estate broker with RERA in Dubai or with the Abu Dhabi Department of Municipalities and Transport, we do not intermediate transactions, and we earn no commission from any sale.
- Not a registered valuer: our outputs are not valuations under the Taqyeem framework and must not be submitted to a bank, a court or a regulator as one.
- Not a securities offering: nothing we produce is an offer, solicitation or recommendation to invest in securities or a collective investment scheme regulated by the SCA, DFSA or FSRA, and our outputs must not be repackaged into offering documents.
- Advertising: if you use our outputs in marketing or buyer communication, you are responsible for compliance with UAE advertising law, RERA advertising rules and ADREC off-plan marketing rules.
- Electronic acceptance: accepting these Terms and confirming actions inside the Platform are valid electronic agreements under Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services.
12. Limitation of liability
Please read this section carefully
It limits what we are liable for and how much. Nothing in it limits a liability that the law does not allow to be limited.
To the maximum extent permitted by UAE law, PropertyDynamix's total aggregate liability for all claims arising from or relating to the Platform shall not exceed the fees you paid us in the twelve months immediately before the event giving rise to the claim.
To the same extent, we are not liable for any:
- Indirect, incidental, special, consequential or punitive loss
- Lost profit, revenue, business, opportunity or anticipated saving
- Loss of data, goodwill or reputation
- Business interruption or loss of use
- Cost of substitute services
- Loss arising from a pricing, investment, land, launch or commercial decision made using the Platform or its outputs
- Loss arising from an offer, a launch, a record or a page read from a third-party or public source
- Loss arising from a Complimentary Service, beyond the limit in section 5
These limits apply whatever the legal basis of the claim, in contract, tort including negligence, strict liability, warranty or otherwise, and whether or not we were told the loss was possible.
13. Indemnification
You agree to indemnify and hold harmless PropertyDynamix and our officers, directors, employees, contractors, agents, licensors and suppliers from claims, losses, liabilities, costs and expenses, including reasonable legal fees, arising from or relating to:
- Your use of the Platform or of any output, including outputs you share with others
- Decisions you make using the Platform
- Data, documents or content you upload or provide, and your right to provide them
- Your breach of these Terms, of the law, or of a third party's rights
- Your negligent or wrongful acts or omissions
14. Service availability
- Uptime target: we aim for 99.5% availability of the Platform. We do not promise uninterrupted or error-free service.
- Maintenance: we schedule planned maintenance outside UAE working hours where we can and give notice in advance where we can.
- Ultra service level: Ultra subscribers receive a 99.9% availability commitment with service credits, applied to the next invoice on a verified claim, as set out in their order form.
- Scheduled features: features that run on a schedule (for example Pricing Pulse, Promotions Radar, New Launches and market review editions) run when their schedule says, and a run may be delayed, skipped or repeated. A schedule is not a promise of a result at a particular time.
- Force majeure: we are not liable for interruption caused by events outside our reasonable control, including government action, natural disaster, epidemic, internet or telecommunications failure, a third-party service failure (cloud hosting, AI models, payments, maps, email or search), cyber attack, or war.
15. Acceptable use
Please do not:
- Reverse engineer: decompile, disassemble or otherwise try to derive the source code, models, prompts, algorithms or data models of the Platform.
- Scrape or extract: use automated tools to read, copy or harvest data from the Platform beyond the export features we provide.
- Automate access: reach the Platform with scripts, bots or other software except through features we provide for that purpose, which will include MOIRA Majlis under its own terms once it is released.
- Resell or share: resell, sublicense, rent or share access, or share a login, without a written agreement with us.
- Build a competitor: use the Platform, its outputs or its data to build, train or benchmark a competing product or dataset.
- Break the law: use the Platform for any purpose that breaks local, national or international law, or that infringes anyone's rights.
- Overload or abuse: deliberately overload our infrastructure, abuse usage pools, or disrupt the service for others.
- Bypass controls: circumvent rate limits, access controls, plan restrictions or any other security or usage control.
- Upload what you should not: upload personal identity documents, data about individuals you are not authorised to share, or content you do not have the right to use.
We may rate-limit, restrict or suspend an account that breaks these rules, and we may remove content that does.
16. Data processing and confidentiality
- Confidential: your pricing data, configurations, inventory, plans, feasibility studies, documents and business intelligence are confidential information. We use them only to provide the service, to keep it secure and to comply with law.
- Security: data is encrypted in transit and at rest, accounts are isolated from one another by security rules, free accounts are reviewed before access, and administrative actions are written to an append-only audit log.
- Our people: our employees and contractors access customer data only to support you, fix a problem or maintain the Platform, and they are bound by confidentiality obligations.
- Processors and regions: the third-party services we use and where data is stored and processed are set out in our Privacy Policy.
- No training on your data: as stated in section 10.
Our Privacy Policy describes what we collect, why, for how long, and your rights.
17. Changes to these Terms
We may update these Terms when the product, the law or our practices change. You accept this way of updating them once, here, so you are not asked again for every small change. When we update them:
- The "Last updated" date at the top of this page changes, and we tell you in the Platform what changed.
- Minor change: a clarification, a correction or a change that does not reduce your rights. If you keep using the Platform after we have told you about it, you accept it.
- Material change: a change to fees, refunds or our liability, or to how we use or share your personal data. We announce it at least 30 days before it takes effect, in the Platform, by email to your registered address, or both, and you can export your data during that period. From the day it takes effect, we ask you to accept it before you continue using the Platform. Using the Platform alone never counts as accepting a material change.
- Price changes also get at least 30 days written notice, as section 4 says.
If you do not accept a material change, you may cancel before it takes effect. Cancelling, and any refund, follow section 6. If you do not agree with any change, do not accept it and stop using the Platform. Write to support@propdynamix.com and we will help you export your data and close your account.
18. Governing law and disputes
Jurisdiction
These Terms are governed by the laws of the United Arab Emirates. Disputes are heard by the courts of Dubai, after a 30-day attempt to resolve them in good faith.
- Governing law: the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict of law rules.
- Courts: the competent courts of Dubai, United Arab Emirates, have exclusive jurisdiction over any dispute arising from these Terms or the Platform.
- Talk first: before either of us starts proceedings, we both agree to try to resolve the dispute in good faith for 30 days from written notice of it.
19. Severability
If a court finds any part of these Terms invalid or unenforceable, the rest continues in full force. The invalid part is read as narrowly as needed to make it valid while keeping its intent, or, if that is not possible, removed.
20. Entire agreement
These Terms, our Privacy Policy and any signed order form or agreement between us are the whole agreement about the Platform and replace every earlier discussion, proposal and understanding on the subject. Where they conflict, a signed agreement wins for what it covers, then these Terms, then the Privacy Policy.
If we do not enforce a provision on one occasion, we can still enforce it later. Neither of us may transfer this agreement without the other's consent, except that we may transfer it to a successor of our business on notice to you.
